Administrative fine from CMB to JP Morgan

While the Capital Markets Board (CMB) approved the public offering of Bien Yapı Ürünleri and Kayseri Şeker, it was decided to impose an administrative fine of approximately 33 million liras on JP Morgan Securities PLC.

According to the CMB weekly bulletin, the board approved the public offering application of Bien Yapı for 42.8 liras and Kayseri Şeker for 16.27 liras.

Anadolu Tan ve Biotechnology Products Research and Development Industry and Trade Inc.’s capital increase of 110 million TL has been approved.

National Faktoring AŞ for 110 million TL, Tera Yatırım Menkul Değerler AŞ for 140 million TL, Ata Yatırım Menkul Kıymetler AŞ for 65 million TL, Çağdaş Faktoring AŞ for 170 million TL, Tacirler Yatırım Menkul Değerler AŞ for 350 million TL. 1 billion 840 million lira debt instrument issuance application of Halk Investment Menkul Değerler AŞ was allowed.

Among the companies that were allowed to apply for debt instrument issuance were İnfo Yatırım Menkul Değerler AŞ with 300 million TL, Osmanlı Yatırım Menkul Değerler AŞ with 500 million TL, Tam Finans Faktoring AŞ with 190 million TL and Yapı ve Kredi Bankası with 250 million Euros.

5 MUTUAL FUNDS ALLOWED TO ESTABLISH

The Board authorized the establishment of an intermediary institution named Blupay Menkul Değerler AŞ. Allowing and participating in the establishment and participation of Hedef Portföy Yönetimi AŞ Independent Private Venture Capital Investment Fund and Re-Pie Portfolio Management AŞ Real Estate Participation Yeni Evim Real Estate Investment Fund, Efor Real Estate Investment Fund, Downtown Hotel Real Estate Investment Fund and Göksu Real Estate Investment Fund The requests for the approval of the issuance document regarding the issuance of the shares were met positively.

Ziraat Yatırım Menkul Değerler AŞ is included in the CMB’s “Enterprises Authorized to Appraise Non-Real Estates” list; Lodos Gayrimenkul Değerleme ve Danışmanlık AŞ, on the other hand, was included in the list of “Enterprises Authorized to Appraise Machinery and Equipment”.

The request for Nar Crowdfunding Platform AŞ to be included in the list of platforms authorized by the board to carry out share-based crowdfunding activities was positively received.

ADMINISTRATIVE FINE FROM JP MORGAN

CMB decided to impose an administrative fine of 610 thousand 993 liras to a name in relation to the transactions carried out in the PEKGY share market, prior to the material event disclosure made by Peker Gayrimenkul Yatirim Ortakligi AS (PEKGY) on 7 July 2020 at the Public Disclosure Platform.

As a result of the examination made regarding the transactions carried out in Borsa İstanbul AŞ markets, 32 million 795 shares were filed against JP Morgan Securities PLC for “contrary to clauses a, b, d, e and f of the first paragraph of article 5 of the Communiqué on Market Distorting Actions No. VI-104.1”. An administrative fine of 1,908 lira was imposed.

As a result of the examination of the individual and consolidated financial statements of Koray Gayrimenkul Yatırım Ortaklığı AŞ for the accounting period of 1 January-30 June 2022, it was decided to impose an administrative fine of 139 thousand 566 liras on the company and 5 members of the board of directors of the company.

It has been decided to take legal actions in accordance with the fourth paragraph of Article 99 of the Capital Markets Law in order to prevent access to 42 websites that are determined to have leveraged transactions abroad for people residing in Turkey.
